Terms of Service

Please read these terms carefully before using our services

These Terms of Service (the "Terms") govern your access to and use of the website, services, and proprietary materials provided by the Canadian Export Promotion Council (CEPROC.CA).

Acceptance of Terms and Scope

1.1 Agreement

By accessing, browsing, registering for, or using any part of the CEPROC.CA website or its services (including the Vetting & Partnership Program, Verified Sourcing, Policy Briefs, and the CDTCO Program), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the services.

1.2 Users

These Terms apply to all users, including:

  • (a) Canadian Producers - companies applying for or holding CEPROC Vetting Status
  • (b) International Buyers - parties seeking verified Canadian sources
  • (c) General Users - visitors accessing public content

The CEPROC Vetting & Partnership Program

2.1 Vetting Application and Integrity

Application for the CEPROC Vetting Status requires the submission of truthful, accurate, and complete company, financial, compliance, and operational data. You warrant that all information provided during the application and subsequent monitoring phases is current and non-misleading.

2.2 Vetting Status and Monitoring

CEPROC.CA reserves the right, at its sole discretion, to:

  • Deny Vetting Status to any applicant.
  • Revoke or Suspend Vetting Status at any time based on failed compliance audits, regulatory breaches, or evidence of material misrepresentation.
  • Conduct Continuous Monitoring of compliance records, legal standing, and public record data.

2.3 The CEPROC Verified Seal

The CEPROC Verified seal, logo, and Vetting Status are proprietary marks of CEPROC.CA.

  • License: Use of the seal is a limited, non-transferable, revocable license granted solely during the period of active, valid Vetting Status.
  • Prohibited Use: Any unauthorized use of the seal, including displaying it after status is revoked or implying Vetting Status where none exists, is a breach of these Terms and may result in legal action.

2.4 Fees and Payment

All membership, Vetting, and Certification fees (including the CDTCO Program) are payable upon invoice. All fees are non-refundable, except as otherwise stipulated in a separate written membership agreement or required by Canadian consumer protection law.

Verified Connectivity and Introductions

3.1 Facilitator Role

CEPROC.CA acts strictly as a neutral, trusted facilitator providing Direct Introductions between Vetted Producers and pre-qualified International Buyers. CEPROC.CA does not participate in the negotiation, sale, financing, or execution of any resulting trade agreement.

3.2 No Guarantee of Outcome

CEPROC.CA does not guarantee export success, minimum sales volumes, buyer performance, payment, or contract fulfillment. Users are solely responsible for conducting their own final due diligence, contracting, and managing risks associated with any transaction resulting from a CEPROC introduction.

Intellectual Property and Data Use

4.1 CEPROC.CA Proprietary Content

All content, designs, trademarks, service marks, algorithms, and proprietary data models (including the Regulatory Bottleneck Index (RBI), Market Data Reports, Policy Briefs, and the CEPROC Verified seal) are the exclusive intellectual property of CEPROC.CA.

4.2 Licensing of Digital Products

Users downloading Policy Briefs or Market Data Reports are granted a single, non-transferable, limited license solely for their internal business use. Redistribution, publication, or resale of CEPROC's proprietary data is strictly prohibited without explicit written consent.

4.3 Use of Member Data

By submitting data for Vetting, the Member grants CEPROC a worldwide, non-exclusive, royalty-free license to use, aggregate, and anonymize such data for the purpose of generating industry reports, policy papers, and other data products, in accordance with the CEPROC Privacy Policy.

User Obligations and Prohibited Conduct

5.1 Compliance

All users agree to comply with all applicable Canadian federal, provincial, and local laws, and relevant international trade and anti-corruption laws (including, but not limited to, the Corruption of Foreign Public Officials Act (CFPOA)).

5.2 Prohibited Conduct

You agree not to:

  • Misrepresent your Vetting Status or the nature of your products/services.
  • Use the CEPROC platform to promote illegal activities, spam, or abusive material.
  • Attempt to disrupt or compromise the integrity or security of the CEPROC.CA website or network.

Disclaimers and Limitation of Liability

6.1 Warranty Disclaimer

THE SERVICES, WEBSITE, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CEPROC.CA, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

Termination

7.1 Termination by CEPROC

CEPROC.CA may terminate or suspend your membership, access to the services, and your Vetting Status immediately, without prior notice or liability, if you materially breach these Terms.

7.2 Effect of Termination

Upon termination, your right to use the services and the CEPROC Verified seal immediately ceases. All provisions of the Terms which, by their nature, should survive termination (including, without limitation, IP ownership, disclaimers, and limitations of liability) shall survive termination.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, to resolve any legal matter arising from these Terms.
